Terms of Service
These Terms of Service ("Terms") govern your access to and use of Flotr, a software service operated by Parallax One (SASU, France). By creating an account or using the service, you agree to these Terms on behalf of yourself or the organization you represent.
The service
Flotr is a cloud-based operations workspace that helps teams capture, assign, track, and complete operational work. Features, limits, and availability may change as the product evolves. We may provide beta or early-access features that are offered as-is and may be modified or discontinued.
Accounts and eligibility
You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. If you use Flotr on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 18 years old and able to form a binding contract. The service is intended for business use unless we explicitly agree otherwise in writing.
Customer content and workspaces
You retain ownership of content you submit to Flotr ("Customer Content"). You grant Parallax One a limited license to host, process, transmit, and display Customer Content solely to provide and improve the service, comply with law, and enforce these Terms.
You are responsible for Customer Content and for obtaining any rights, consents, and notices required to use it in Flotr. You must not upload content that is unlawful, infringing, harmful, or that violates the rights of others.
Acceptable use
You agree not to:
- Use the service in violation of applicable law or third-party rights.
- Attempt to gain unauthorized access to systems, accounts, or data.
- Interfere with or disrupt the integrity or performance of the service.
- Reverse engineer or attempt to extract source code except where permitted by law.
- Use the service to send spam, malware, or abusive communications.
- Resell or provide unauthorized access to the service unless permitted by your plan.
Subscriptions and payment
Paid plans, pricing, and billing cycles are described on our website or in an order form. Fees are due as stated at purchase. Unless required by applicable law, fees are non-refundable. We may suspend or terminate access for overdue payment after reasonable notice.
Taxes, if applicable, are your responsibility unless we state otherwise. We may change prices for future billing periods with advance notice where required.
Intellectual property
Parallax One and its licensors own the service, software, branding, documentation, and all related intellectual property, excluding Customer Content. No rights are granted except as expressly stated in these Terms.
Confidentiality and data protection
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for purposes related to the service. Personal data is handled as described in our Privacy Policy. Where required, our Data Processing Agreement applies to Customer Content containing personal data.
Availability and support
We strive to keep Flotr available and reliable, but the service is provided on an "as available" basis. Maintenance, updates, and events outside our control may cause interruptions. Unless agreed in a separate support or service level agreement, we do not guarantee uninterrupted operation.
Disclaimer of warranties
To the fullest extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by applicable law, Parallax One will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability arising out of or related to the service or these Terms is limited to the amounts paid by you to us for the service in the twelve (12) months before the event giving rise to the claim, except where liability cannot be limited under mandatory law.
Term and termination
You may stop using the service at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or if required by law. Upon termination, your right to use the service ends. Provisions that by nature should survive will survive, including ownership, confidentiality, disclaimers, and limitations of liability.
Governing law and jurisdiction
These Terms are governed by the laws of France, without regard to conflict-of-law rules. Unless mandatory consumer protection rules require otherwise, the courts of Paris, France have exclusive jurisdiction over disputes arising out of or relating to these Terms or the service.
